  1. Do I need to be an accredited investor to participate in a deal?

All members purchasing an interest in the deal must meet US accreditation requirements. However, unaccredited investors are allowed to earn a share of the profits (carried interest).

  1. What are my tax obligations (Schedule K1s, etc.)?

Every year, investors will receive an annual Schedule K-1 for each deal they've invested in that was powered by the Seed Labs compliance suite. These filings report any gains, losses, or valuation changes to the investor's interest in the vehicle. It is each investor's responsibility to work with their jurisdiction's tax professionals to ensure they are in line with their region's guidelines.

K1s will be sent via email and available for download on the Seed Labs platform by March 15th.

  1. I have an accountant/etc. who needs to access my account on my behalf. How should I do that?

We have not yet launched the ability to add accountants or other third parties to your account. However, we are working on this feature and will notify you when it is available.

In the meantime, there is a simple workaround that you can do:

  1. Instruct your accountant/third party individual to go the link on Seed Labs that they need to access.
  2. Have them enter your email– the email that you normally use to log in to Seed Labs.
  3. They will be prompted to enter a code that will be sent to your email. Let them know the code.
  4. They will be able to access the link and view the information they need.

Please be careful with who you share your login with. You are responsible for any actions taken on your account.

  1. I just invested in a deal as an individual but need to switch to an entity (LLC, trust, etc.)

You will change your account from representing an individual to an entity, then update your investment document.

  1. Go to Settings, then under Credentials, click Attest/Re-Attest to re-accredit your account as an entity.
  2. Then, go to Investor Info and fill out the information about your entity.
  3. Finally, return to the Invest page of the deal you invested in, and click Amend Contribution to update your investment document. Enter the same investment amount as before.

Note that these same instructions apply if you invested in a deal as an entity and need to switch to an individual.
